Please refrain from using the Platform in any way if you disagree with any of the terms or do not wish to be bound by them. Henry classes, "we," "us," and "our" refer to the brand's owner, directors, authorized personnel, and all of its affiliates who are licensed to host the Platform and provide Services collectively. Our Company and the Platform The only proprietor and legal owner of the brand, a state-recognized incorporation under the Government Act, with its registered office at Khandagiri Bhubaneswar, Odisha, India, owns, manages, operates, and provides the Platform in India. Wherever services are provided through the Platform outside of India, Henry classes in India and/or its affiliates deliver those services (as relevant pursuant to appropriate intra group contractual arrangements like Franchises of the brand ). 2. Services The Henry classes Platform is an online service platform that publishes content in a variety of categories and in a variety of formats, including but not limited to audiovisuals, audio, pre-recorded audiovisuals, live audiovisuals, and/or written form, and makes it available to learners, including through subscription offerings (refer to the Subscription Terms below to know more). Other incidental and ancillary services that Henry classes may provide include without limitation question banks, mock exams, doubt-solving techniques, live videos, live contests, scholarships, webinars and events (both in-person and online), as well as facilitating discussion forums. These services may be provided directly by Henry classes or indirectly through other third-party platforms. According to the Franchise standards for the specialized courses, Henry classes "we" provide local coaching services, and our franchises also provide offline coaching to users on a variety of subjects in various formats and at franchise sites. You agree and acknowledge that "Henry classes" shall have the right at any time to modify or discontinue any Service, product, aspect, or feature of the Platform, including without limitation, the User-generated Content (to the extent that it is permitted to or required to do so by virtue of being a "intermediary" in the future), its availability, and Henry classes reserves the right to cancel your (subscriber, user, or learner) Subscription and/or restrict your access to the Platform. 3. Account creation and right of access You will need to register and create an account on the Platform as a Learner in order to access the Platform and use some of the Services. You must fulfil the 'Requirements' listed in order to register on the Platform. such the nationalities, ages, levels of education, and residency permits. Although registration on the Platform is free, some of the Services can have a fee attached. Please have a look at the services we offer on our website or app (s). You are not required to use any Service or make a purchase from any vendor on the Platform. Age Restrictions ("Age Requirements") for using and registering on the Platform: • To register and use our PLATFORM, you must be at least 18 (eighteen) years old. If a Learner is a "Minor" or "Child," they may use the Platform only with the permission of, and under the supervision of, their parent or legal guardian ("Parent") if they do not meet the above-mentioned Age Standards (as may be changed as per applicable legislation from time to time). As a result, at the time of their registration on the Platform, the Parent in this situation must accept the Platform Conditions. Please be aware that children and minors are not eligible to register on the Platform on their own. When a Minor/Child uses the Platform, we assume that their Parent has authorized their use of the Platform by accepting the Platform Terms and that their use of the Platform is being watched over by their Parent. The following terms and conditions apply to the authorization granted by henry classes to access and use the Platform pursuant to these Terms and Conditions: a. Without Henry classes' prior written consent, you agree not to distribute in any format any portion of the Platform or our Content (as defined below). b. You consent to not modifying or changing any aspect of the Platform. c. You promise not to use any technology or other method other than the User-Generated Content you have rightful access to in order to access User-Generated Content created by any other User. d. You understand that unless you have Henry classes's prior written consent, you may not use the Platform for any of the following commercial purposes: i. The purchase of Platform access; ii. The sale of any sponsorships, advertisements, or promotions that are displayed on or within the Platform or Content Provider Content; iii. The sale of any sponsorships, advertisements, or promotions that are displayed on any third-party webpage or website. e. You consent to occasionally receiving updates and installs from us. These updates, which aim to strengthen, grow, and progress the Platform, could come in the form of bug patches, improved features, new software modules, or entirely new versions. As a condition of using the Platform, you consent to receiving such updates (and grant Henry classes permission to distribute them to you). f. You agree not to employ or make available any automated system, such as "robots," "spiders," or "offline readers," that accesses the Platform and sends more request messages to Henry classes's servers in a given period of time than a human can reasonably send in the same amount of time by using a standard online web browser. Despite the aforementioned, Henry classes permits public search engine operators to employ spiders to copy materials from the Site in order to create publicly accessible searchable indexes of the materials, but not caches or archives of such materials. Henry classes has the right to revoke these exceptions at any time, with or without prior warning, and either generally or in specific circumstances. Unless otherwise specified below, you undertake not to obtain or harvest any personally identifiable information, including account names, from the Platform or use the communication services made available by the Platform. g. As long as the content isn't harmful to third parties or objectionable, illegal, obscene, threatening, defamatory, invading their privacy, violating their intellectual property rights, or otherwise offensive, you are allowed to post reviews, comments, and other content. You are also allowed to send other communications, submit suggestions, ideas, comments, questions, or other information. Make sure your behavior on the Platform complies with the Platform Terms, including the User Guidelines, in other words. h. You will always abide by all applicable laws and regulations when using the Platform. i. Henry classes maintains the right, in its sole discretion, to terminate any Platform feature at any time with or without prior notice. j. You are in charge of protecting the privacy of your Platform login information, including your password. You agree not to grant anyone else access to the Platform or control access to your device in order to prevent unauthorized access to your account and acknowledge that your account is private to you. You consent to taking ownership of all activities that take place on your account. While using a public or shared computer to access your account, you should take extra care to ensure that nobody may see or record your login, password, or other Personal Information. You agree to change your password right away or notify us of any unauthorized access to or use of your username or password so that we can work with you to stop or prevent such unauthorized access. You should take all necessary precautions to ensure that the password is kept private and secure at all times, and if you have any reason to believe that it has become known to anyone else, or if it is being, or is likely to be, used in an unauthorized manner, you agree to immediately change your password or notify us of any unauthorized Please make sure the information you give us is accurate and comprehensive. You guarantee that the information you gave when registering is true, accurate, and correct, and you agree to update it if and when the aforementioned information changes. Please be aware that we reserve the right to refuse registration on the Platform or put it on hold in order to comply with any legal or regulatory requirements. Terms of subscription Henry classes does not charge any fees to learners for account creation or registration. Nonetheless, some of Henry classes' services can be fee-based. As a result, Henry Classes provides access to specific Services and features via multi-tiered paid subscription plan(s) or purchases; information about the Services and relevant features, as well as their prices, can be found on our website and/or Application ("Subscription"/ "Subscription Service"). If you buy a subscription or service, you can only access the content that falls under the category for which you bought the subscription. b. Live – Streaming of Content/ Live Videos: You will have access to watch live videos (or, more precisely, live-streamed content) if they are made available as a part of the subscription you have purchased. You will have access to the content through the Platform throughout your subscription period, and it will be governed by the Platform Conditions. Viewing Period: Depending on the Subscription, we might offer you the option of continuing to watch any pertinent live videos on the Platform during your Subscription Period by making the recorded copies of those live videos available to you. Please be aware that our rules must be followed and that we do not in any way promise that the relevant live video material will always be available for you to access on the Platform once it has been recorded. In-App Downloading: Depending on your subscription, you might only have the option to download content into an app, which you can then access for the duration of your subscription. You will only have access to the downloaded content during the Subscription Period after downloading it, and all access will be lost if your subscription expires or is terminated, as applicable. We reserve the right to use any legal or collection agency procedures, including charging additional payment methods that are on file with us, to collect the money that is owed to us. e. All relevant taxes, including but not limited to Goods and Service Taxes (GST) or other similar taxes that may be applicable, shall be deducted from your payments to Henry classes. f. We retain the right to modify the Subscriptions' prices. When a Subscription is renewed or billed for an existing Subscription for which we have already received the applicable fees, we will apply the new prices. g. In addition to what is provided on the Platform, we have the right to provide bespoke plans and pricing (including discounts and/or special offers), as well as custom invoicing and payment terms that differ from our normal terms. h. In order to handle payments related to the Services we provide, we work with third-party payment gateways and/or aggregators. Depending on the Subscription you select, the third-party payment gateway(s) made available to you may change. To provide you with better payment alternatives, we have also enabled integration of third-party payment providers. These possibilities may change according on your location or the Subscription you select. Third-party service providers will collectively be referred to as third-party payment gateways/aggregators and third-party payment providers. You acknowledge and agree to indemnify, defend, and hold Henry classes, its licensors, their affiliates, and their respective officers, directors, employees, and agents harmless from any loss arising out of or related to the use of the Platform or any purchases made through the Platform. You agree that you are solely responsible for all charges that occur through such Third-Party Service Providers. Once your Agreement with us expires and you stop using the Platform, this requirement will remain in effect. Loss refers to all losses, liabilities, damages, awards, settlements, claims, lawsuits, proceedings, costs, and expenses for the purposes of the Platform Terms (including reasonable legal fees and disbursements and costs of investigation, litigation, settlement, judgment, interest, and penalties). For any claims resulting from any action or inaction on the part of the Third-Party Service Provider(s), including but not limited to any lost, stolen, or improperly processed funds, Henry classes shall not be liable to you. For all services rendered by the Third-Party Service Provider, Henry classes fully disclaims all responsibility and liability (s). j. Please be aware that Henry Classes only accepts payments for Subscriptions through the Platform and not from any other sources (apart from Third-Party Service Provider(s)). Normally, we don't give permission to anyone else (aside from Third-Party Service Provider(s)) to collect money on our behalf; k. In addition, Henry Classes is the only party with the authority to grant any discounts or offers on the Subscription costs. Unless otherwise clearly stated by Henry classes, these discounts and offers are provided on the Platform or directly to you from Henry classes by email, SMS, phone, or other methods of communication. They can only be taken advantage of through the Platform. No one, including without limitation any third-party platform, is permitted to provide any discounts on the Subscription pricing offered on the Platform outside of Henry classes. Any claims resulting from such unauthorised discounts or offers made by anybody (including any third-party platform or Content Provider) other than Henry classes are not the responsibility of Henry classes. 2. Cancellation and Refund Policy: You have the option to terminate your Membership by logging into your Platform account. Please take note that the cancellation will take effect at the conclusion of the then-current paying month; in other words, even if your subscription will not be renewed, it will still be active until the end of its payment term and you won't receive a refund unless otherwise stated. While your account may still be active on the Platform after you cancel your Subscription, Henry classes may limit access to features that were made available to you following your purchase of Subscription. 6: Using the Platform Henry classes hereby grants you a non-exclusive, non-transferable, non-sublicensable, limited license to access and use the Platform on a "as is" basis for your own individual, non-commercial, and private use in accordance with these Terms and Conditions and other Platform Terms. This license is subject to the Platform Terms. You will not make a copy of the Platform or any part of the Platform, sell it, redistribute it, or use it in any other way unless expressly approved by any of the Platform Terms or otherwise in writing (including but not limited to any copyrighted material, trademarks, or other proprietary information). 7. Content and Behavior a. You may post User-generated Content on the Platform as a User. You should be aware, nevertheless, that Henry Classes cannot guarantee the privacy of any user-generated content you upload. b. The repercussions of uploading and posting your own User-generated Content on the Platform are exclusively your responsibility. You declare, represent, and warrant that the user-generated content you submit is yours or that you have all required licenses, rights, consents, and permissions to publish it. Moreover, you concur that user-generated c. You further affirm that you won't host, display, upload, change, publish, transmit, save, update, or share any information—including user-generated content—on the Platform that: i. Belongs to someone else and you have no legal right to it; ii. Is defamatory, obscene, pornographic, intrusive of another person's privacy, including their physical space; insulting or harassing on the basis of gender; libelous; promotes money laundering or gambling; or is otherwise in conflict with or contrary to the law; iii. Is harmful to children iv. Violates any patent, trademark, copyright, or other proprietary rights of another; v. Violates any law, statute, ordinance, or regulation or the Platform Terms; vi. Deceives or misleads any User about the origin of the message or knowingly and intentionally communicates any information that is patently false or misleading in nature but may reasonably be perceived as a fact; vii. Assumes the identity of another person; viii. Endangers India's unity, integrity, defense, security, or sovereignty; friendly relations with foreign States; or public order, incites the commission of any crime that is punishable by law. ix. Contains software viruses or any other computer code, file, or program designed to interrupt, destroy, or limit the functionality of any computer resource; x. Is obviously false and untrue, and it is written or broadcast in any way with the intention of deceiving, harassing, or causing harm to a person, entity, or agency; xi. False, inaccurate, or deceptive. xii. Obscene or contain pornography xiii. Include any viruses, Trojan horses, worms, cancel bots, or other computer programming routines that may harm, adversely interfere with, covertly intercept, or expropriate any system, data, or Personal Information. d. You must adhere strictly to the User Guidelines and other Platform Rules in all of your interactions on the Platform. e. You acknowledge and agree that you will never harass any other User while using the Platform by posting or publishing any content, making any remarks, or acting in any other way. You agree that Henry classes shall have the sole authority to suspend or terminate your account with immediate effect and without prior notice in the event that we become aware at any time that you have harassed another User. We also reserve the right, in our sole discretion, to take legal action against you in such situations. f. You are prohibited from engaging in any activity that could damage our reputation and/or the reputation of other Platform users, including without limitation, any screen-recording, screen-casting, or downloading of Content (live or recorded) on any other device in a way that is not directly supported by a feature on the Platform, as well as any sharing or other publication of such screen-recorded content on third-party platforms, whether for free or for a fee. If Henry classes learns of your participation in any such activity, whether directly or indirectly through a third party, we reserve the right, in our sole discretion, to immediately terminate your or that User's access/Subscription, remove all downloaded content, and take other appropriate legal action. 8. Communications You are contacting us electronically when you use the Platform. You can be asked for a working phone number when you open an account with us, sign up for a subscription service, or buy one. We can reach out to you by phone, text message, email, posting notices on the Platform, or any other means of communication. By submitting your information, you give Henry classes, its affiliates, and each of their employees, agents, and contractors permission to contact you via email, phone, or other electronic means regarding your use of the Platform and the goods and services that Henry classes and its affiliates have to offer. Despite the fact that your phone number may be listed on a state or federal do-not-call list, Henry classes may still contact you. Calls over the phone might be recorded. If you do not want to be contacted by phone, text, email, or another similar kind of communication, do not enter your information. Additionally, you will always have the choice to unsubscribe from any promotional communications sent by us and/or its affiliates by doing so in one of two ways: by disabling the options offered within your account on the Platform, or by adhering to the relevant instructions that may be provided via text, email, or any other form of communication in which you received a promotional communication. Intangible property All information and materials (in whatever format or media) provided or communicated to you by or on behalf of Henry classes are owned by Henry classes and/or its affiliates. This includes, but is not limited to, the Platform, logos, marks, graphics, audio files, video files, any software that is owned by or licensed to us and/or our affiliates, the underlying source and object code, letters, numbers, images, ideas, concepts, the layout, design, flow, look and feel of the Platform You won't make any use of, alterations to, or changes to its trademarks. You understand and agree that by using the Platform, you do not acquire any ownership or other rights in the Content or the Platform. You acknowledge and accept that the Content is covered by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Hence, you agree that it is expressly forbidden to use the Henry classes Content or any part of it for any unauthorized purposes. Without Henery Classes's express prior written authorization, you affirm that you will not use any robots, data mining programs, or other similar data collecting and extraction technologies to harvest for later use any significant portions of this Platform. 10. Account Erasure As a Learner, you have the option to remove your account at any time by contacting us through email at the address listed below in the "Contact us" section, or by utilizing the delete feature available in your account on the Platform (if available). Any deletion once executed is irrecoverable, thus if your account is deleted (regardless of the reason), you will lose access to your account on the Platform and your user-generated content might not be available. Your information and/or User-generated Content may be lost if they are deleted, and Henry classes is not liable to you or anyone else in any manner for your inability to access User-generated Content as a result of any deletion. Please be aware that all accounts will continue to be active unless you specifically request that we delete them, and applicable Subscription payments will continue to be taken until you cancel them, your account is deleted at your request (as described in the section above titled "Pricing and Payments"), or the Platform Terms are otherwise violated. If you are a Content Provider, your access to and use of the Platform may be regulated by the terms of a separate agreement you have with Henry classes, as well as the Terms and Conditions and other Platform Terms. 11. Disclaimer You acknowledge that the platform, content, and all materials are offered "as is" and "as available" and that using the platform is done at your own risk. HENRYCLASSES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM AND EXCLUDE ANY WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF TO THE FULLEST EXTENT PERMITTED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HENRYCLASSES DISCLAIMS ANY AND ALL WARRANTIES, CONDITIONS, TERMS OR REPRESENTATIONS REGARDING THE ACCURACY, SECURITY, RELIABILITY, QUALITY, AVAILABILITY OR COMPLETENESS OF THE PLATFORM, USER-GENERATED CONTENT ON THE PLATFORM, OR THE CONTENT OF ANY SITES SO Irregularities, omissions, or inaccurate information in any user-generated content or other content on the platform. (I) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (II) ANY PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR USE OF THE PLATFORM, (III) ANY PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NA (IV) Any disruption or cessation of transmission to or from the platform, (V) Any bugs, worms, Trojan horses, or other similar software that may be transmitted to or through the platform by any third party, and/or (V) ANY ERRORS OR OMISSIONS IN ANY USER-GENERATED CONTENT OR ANY OTHER CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY USER- GENERATED CONTENT OR ANY OTHER CONTENT THAT IS POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE PLATFORM AS HENRYCLASSES IS STRICTLY AN INTERMEDIARY AS UNDER THE INFORMATION TECHNOLOGY ACT, 2000. HENRYCLASSES DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY USER- GENERATED CONTENT OR THE PLATFORM ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE PLATFORM OR ANY HYPERLINKED SERVICES OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND HNERYCLASSES WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF USER-GENERATED CONTENT OR SERVICES. As with buying a product or service from any source or location, you should use your best judgment and exercise caution where necessary. 12. Liability Restriction TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HENRYCLASSES, ITS AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, LOSSES OR EXPENSES OR CONSEQUENT (I) ERRORS, MISTAKES, OR INACCURACIES OF ANY OTHER CONTENT AVAILABLE AT HENERYCLASSES OR USER-GENERATED CONTENT (I) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (II) ANY PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR USE OF OUR PLATFORMS, (III) ANY PERSONAL INJURY OR PROPERTY DAMAGE, OF (IV) IF THE TRANSMISSION TO OR FROM THE HENRYCLASSES PLATFORM IS INTERRUPTED OR CEASES, (IV) TROJAN HORSES, BUGS, VIRUSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR HENRYCLASSES PLATFORMS BY ANY THIRD PARTY, AND/OR(V) ANY ERRORS OR OMISSIONS IN ANY USER-GENERATED CONTENT OR ANY OTHER CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA OUR PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT HENERYCLASSES IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. If this is the case in your jurisdiction, Henry Classes and its affiliates limit their liability for any claims arising under those warranties or conditions to providing you with the platform once more, to the extent permitted by law. WE UNDERSTAND THAT IN SOME JURISDICTIONS, WARRANTIES, DISCLAIMERS, AND CONDITIONS MAY APPLY THAT CANNOT BE LEGALLY EXCLUDED. You expressly acknowledge that Henry Classes is not responsible for user-generated content or the defamatory, offensive, or unlawful conduct of others and that the risk of harm or damage resulting from the foregoing solely rests with you. Depending on your jurisdiction, HENERYCLASSES AND/OR ITS AFFILIATES CONTROL AND PROVIDE THE PLATFORM. NO REPRESENTATION IS MADE BY HENRYCLASSES THAT THE PLATFORM IS SUITABLE OR AVAILABLE FOR USE IN OTHER LOCATIONS. Those who use the platform from other jurisdictions do so at their own volition and are in charge of adhering to local laws in such jurisdictions. 13. Release and Indemnity You agree to defend, hold harmless, and indemnify HENERYCLASSES, its affiliates, and each of their respective officers, directors, employees, and agents from and against any and all claims, demands, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), to the fullest extent permitted by law. I your access to and use of the Platform; (ii) your breach of any provision of the Platform Terms; (iii) your infringement of any right of a third party, including without limitation any copyright, property, or privacy right; (iv) any allegation that your user-generated content injured a third party; or (v) your contravention of any applicable laws. These Terms and Conditions and your use of OUR Platform do not affect this defense and indemnification commitment. You specifically waive any claims or demands that you may have in this regard against any of Henry classes, its affiliates, and any of their respective officers, directors, employees, and agents under any statute and expressly release Henry classes, its affiliates, and any of their officers, directors, employees, and agents from any cost, damage, liability, or other consequence of any of the actions or inactions of any third-party vendors or service providers. 14. Force Majeure: Henry classes shall not be liable for failure to perform, or the delay in performance of, any of its obligations if, and to the extent, such failure or delay is caused by events that are substantially beyond its control, including but not limited to acts of God, acts of the public enemy, acts of governmental bodies acting in their sovereign or contractual capacities, war, terrorism, floods, fire, strikes, epidemics, civil unrest or riots, power outage, and/or unusual 4.
